Guarantees
Seller shall guarantee that all items covered by the Contract strictly comply with the characteristics, requirements, performance and specifications referred to in the Purchase Order; moreover Seller shall guarantee that the Materials and/or software used are new and free from defects even latent and that the manufacture is carried out in accordance with the best working practice and with the most up-to-date techniques.
Inspection and permission to ship the Materials and/or software granted by Buyer's/and or Employer inspectors after test at Seller's works or at sub-contractors' works do not relieve Seller of any responsibility arising out of the above- mentioned guarantees.
Therefore, in the event that within the foreseen Guarantee Period, any defects should appear which are ascribable to non compliance with the characteristics, specifications and performance requirements, shown in the Contract and/or in the technical specification and/or included in normal good engineering practice and/or in Improper packing & marking, Seller shall provide at his care and expense without any charges for Buyer and Employer for any repairs and/or replacements and/or modifications of defective Materials and/or software in the shortest possible time including shipment by air.
If defects are found and Seller after written notification by buyer is not in a position to take the necessary remedial actions within the time required by Buyer and agreed upon for each case according to Buyer's requirements, Buyer shall have such remedial actions taken by others and the resultant expenses shall be charged to Seller.

卖方保证，合同涵盖的所有项目严格遵守采购订单中的描述、要求、性能及规范；此外，卖方保证，所用的物料和/或软件为新品，不存在缺陷和隐患，并根据最佳的工作方法和最新的技术进行制造。
在卖方或分包商的工作地点测试后，经买方和/或业主检查人员准许的物料和/或软件的检查或许可，并不减免卖方因上述保证所承担的任何责任。
因此，如果在预知的保证期内，因不符合合同的描述、规范及性能要求和/或技术规范和/或正常、工程规程和/或包装、标记不当而出现任何缺陷，卖方应在最短的时间内，为任何维修和/或替换和/或对有缺陷的物料和/或软件的修改提供维护并支付费用（包括空运），且不得对买方和业主收取任何费用。
如果发现缺陷，卖方在得到买方的书面通知后未能在买方要求的时间内采取必要的补救措施，且双方未能就各种情况按买方的要求达成一致，则买方有权允许其他方实施上述补救措施，且由此发生的费用由卖方承担。
