ASSIGNMENT AND TRANSFER OF THE CONTRACT
THE OWNER shall have the right to assign or transfer, totally or partially, the rights and obligations assumed in compliance with this CONTRACT, without the previous written approval by THE CONTRACTOR, to any company where it may have interests and even to any third party THE OWNER may also assign this CONTRACT, credit or obligation derived from it to any financial institution which contributes, directly or indirectly, with financial resources in the execution of this PROJECT, if applicable. In the event of an assignment or transfer, THE OWNER shall notify THE CONTRACTOR of such decision.
THE CONTRACTOR may assign or sub-contract to any third party, the rights and obligations acquired per this CONTRACT, only with the previous written approval of THE OWNER, which may establish any restriction or limitation with regards to such assignment or sub-contract that shall be imposed to such assignee or SUBCONTRACTOR. In the event that THE OWNER authorizes a partial SUBCONTRACT, THE CONTRACTOR will continue to be responsible for the acts of such SUBCONTRACTOR, as if they have been performed by it. In any case, THE OWNER will not recognize any increase whatsoever in the price of this CONTRACT, as a result of any assignment or subcontract authorized by it.
THE CONTRACTOR understands and accepts that, for itself and it assignees, their right to any payments provided for in this CONTRACT, do not correspond to a pure and simple obligation of THE OWNER, but that it is governed by the restrictions established therein, specially that such payments are subject to all the applicable deductions and retentions, such as those determined as a result of non compliance by THE CONTRACTOR of any obligation assumed by virtue of this CONTRACT or its duties with its workers, the Treasury or any third party. Therefore, THE OWNER may compensate any amount of money credited to it, regardless of the source of such credit, including credits which title holder is THE OWNER or any of its Affiliates. As a result, in the event that the CONTRACTOR assigns any of its rights before THE OWNER which arise from this CONTRACT, it will be understood that the credit assigned to the assignee shall be transferred to the latter just as it was convened, that is, subject to the same limitations. In view of this, THE OWNER may impose to the assignees or SUBCONTRACTORS all the applicable deductions, retentions or compensations to THE CONTRACTOR, for any event that may occur before or after the notification made to the corresponding assignment or subcontract, including the compensation of the credits against THE CONTRACTOR after the notification and without detriment to the compensation of the credits against the assignee or SUBCONTRACTOR after such notification.

无需事先征得承包人同意，业主有权向任何可能感兴趣的公司、乃至与本合同相关的业主转让的任何第三方转让或移交依据本合同应承担的全部或部分权利和义务。在适用时，业主还可将本合同、由其衍生的信贷或义务转让给在本项目实施中直接或间接地涉及财务资源的任何金融机构。在进行转让或移交时，业主应通知承包人上述决定。
只有事先获得业主书面批准后，承包人方可向第三方转让或分包从本合同中获得的权利和义务；业主可能对上述受让人或分包商就有关上述转让或分包制定任何约束或限制。一旦业主批准一个部分分包商，承包人应继续对该分包方的行为负责，如同其此前对它们所做的。在任何情况下，业主都不会认可因其任何批准转让或分包所致的本合同价格的任何增加。
承包人理解并接受，对自身及其受让人而言，本合同规定的其收款权利，不是业主单方面的简单义务，而是受本合同约束的管制，特别是上述付款遵守所有因承包人未履行本合同所述的义务或对其工人、财务部或第三方的职责而适用的扣除和扣留。对此，业主可能用于偿还向其贷款的任何款项，无论该贷款来自何处，包括名义为业主或任何其下属公司的贷款。因此，一旦承包人转让其对业主由本合同所获的任何权利，双方均理解，依据同样的限制，转让给受让人的贷款应移交给其协定的接收人。有鉴于此，对有关转让或分包的通知前后任何可能出现的情况，包括通知后偿还承包人的贷款，业主有可能将对承包人执行的所有扣除、提留或补偿转嫁给受让人或分包商，但不得影响上述通知后对受让人或分包商贷款的偿还。
