Placement Shares
Application for the Placement Shares may only be made by way of Placement Shares Application Forms. The terms and conditions and procedures for application and acceptance are described in Appendix H - "Terms and Conditions and Procedures for Application".
In the event of an under-subscription for the Placement Shares as at the close of the Application List, that number of Placement Shares not subscribed for and/or purchased shall be made available to satisfy excess applications for the Offer Shares to the extent that there is an over-subscription for the Offer Shares as at the close of the Application List.
Pursuant to the terms and conditions in the placement agreement dated Jan 10, 2004 (the "Placement Agreement") signed between our Company, the Vendors and the Placement Agent, the Placement Agent has agreed to subscribe for and/or purchase and/or procure subscriptions and purchasers for the Placement Shares at the Invitation Price. The Placement Agent shall be at liberty at its own expense to make sub-placement arrangements in respect of its obligations under the Placement Agreement.
Subscribers and purchasers of Placement Shares may be required to pay a brokerage of up to 1.0% of the Invitation Price (plus goods and services tax thereon, if applicable).
None of our Directors or Substantial Shareholders intend to subscribe for and/or purchase the Invitation Shares in the Invitation, save that our Non-Executive Director and Independent Directors may subscribe for and/or purchase Invitation Shares offered to them.

如果在申请列表截止时，出现对配售股认购不足的情况，且在申请列表截止时，出现对要约股的超额认购情况，则未被认购和/或购买的配售股数目应被用于满足要约股的超额申请部分。
依据本公司、献售股东和配售代理商之间于2004年1月10日订立的《配售协议》（"《配售协议》"）的条款和条件，配售代理商已经同意以邀请价格认购和/或购买配售股和/或招揽配售股的认购和购买者。配售代理商有权在自担费用的前提下，自由地就其在《配售协议》下的各项义务订立分配售协定。
配售股的认购者和购买者可能需要支付不超过邀请价格（加上适用的消费税）1.0%的经纪费。
除本公司的非执行董事及独立董事可能认购和/或购买向其发出要约的邀请股外，本公司的各董事或大股东均无意认购和/或购买本次邀请中的邀请股。
